Macquarie AirFinance Announces Sale by Shareholders to DAE

Macquarie AirFinance Limited (the "Company" and, together with its subsidiary undertakings, "MAF") confirmed today that its shareholders have entered into a definitive agreement for the sale of MAF to Dubai Aerospace Enterprise (DAE) Ltd. ("DAE").

Since its founding in 2006, MAF has evolved into a world-class aircraft leasing platform with a proven record of profitable growth through strategic acquisitions and rigorous fleet and risk management. MAF's fleet consists of 352 commercial aircraft (including future commitments) leased to 83 airline customers across 48 countries. MAF holds investment grade issuer ratings from S&P Global Ratings (BBB- (Stable)) and Moody's Ratings (Baa3(Stable)).

Headquartered in Dubai, DAE is one of the largest aircraft lessors globally. Following completion of the transaction, DAE will have a pro-forma fleet of 1,029 owned, managed and committed aircraft.

The transaction is subject to customary regulatory approvals and closing conditions.
